In that situation, converting ownership of an apartment registered as leasehold is not merely a technical act. It may affect the ability to sell, financing terms, the value of the property, and the long-term certainty of the buyer or seller.<\/p>\n<p>In many cases, this involves a residential apartment on land managed by the Israel Land Authority, where the registered right is a long-term lease rather than ownership of the land. Sometimes the leasehold can be converted into ownership; sometimes the conversion has already been approved but has not yet been completed in the registry; and sometimes restrictions require a case-specific review. The difference between these situations may be highly significant in a transaction.<\/p>\n<h2>What is leasehold and how does it differ from ownership?<\/h2>\n<p>Ownership is the broadest right in real estate. The owner of a property holds a proprietary right in the land and apartment, subject to law, planning rules, and the rights of other parties registered in relation to the property. It should therefore never be assumed that the fact that the apartment is residential automatically guarantees conversion into ownership.<\/p>\n<h2>Converting ownership of an apartment registered as leasehold: when is it possible?<\/h2>\n<p>Eligibility depends, among other things, on the identity of the rights holder, the type of property, the land designation, the condominium registration, the terms of the lease agreement, and the Israel Land Authority rules applicable at the relevant time. The property&#8217;s history is also important: whether capitalization fees were paid, whether there are building irregularities, whether the use is inconsistent with the land designation, and whether restrictions or undertakings to third parties are registered.<\/p>\n<p>In apartments located in condominium buildings, the review should address not only the apartment itself but also the broader registration picture. Sometimes the land is registered in the name of the Israel Land Authority and the apartment rights are registered as leasehold in the Land Registry. However, there is no single rule that fits every transaction. Sometimes it is right to complete the conversion before signing; sometimes the transaction can proceed alongside the process, provided that a precise contractual mechanism is included; and sometimes the costs or duration of the process do not justify delaying the sale.<\/p>\n<p>Mortgage banks also examine the quality of the rights and the ability to register a charge. A long-term capitalized leasehold is not necessarily an obstacle to obtaining a mortgage, but the bank may request additional documents, approvals from the managing body, or undertakings regarding registration. A general reference to capitalized leasehold is not enough. The terms of the agreement, the end date of the term, the possibility of extension, and the question whether there is a right or practical ability to convert the leasehold into ownership must be understood.<\/p>\n<p>The planning status should also be checked. Building irregularities, an unauthorized subdivision of the apartment, enclosing a balcony without a permit, or non-conforming use may affect the ability to complete actions with the authorities. In some cases, a planning issue does not prevent the transaction itself, but it requires handling, proper pricing, and contractual regulation that does not leave the buyer exposed to an unexpected risk.<\/p>\n<p>Finally, the condominium documents and the match between the apartment and the registration should be checked: plans, bylaws, appurtenances such as parking and storage, and whether the rights presented in marketing materials match the actual registration. Conversion into ownership does not, by itself, correct other registration gaps.<\/p>\n<h2>Who pays and who handles the process?<\/h2>\n<p>This question should receive an express answer in the sale agreement. If the seller undertakes to complete the conversion into ownership, the agreement should define the timetable, the actions the seller must perform, the documents the seller must sign, and responsibility for any payments. If the buyer assumes responsibility for the process, the buyer should receive all required documents and authorizations so that he or she is not left dependent on the seller&#8217;s future cooperation.<\/p>\n<p>When the process is handled alongside the sale, it is advisable to set a clear mechanism for delay, an unexpected payment demand, or a refusal resulting from a fact connected to the seller. For example, the agreement can define which costs are part of the seller&#8217;s obligations created before the transaction date, and which future costs will apply to the buyer. A general clause stating that each party will bear its own taxes is not enough when complex rights in Israel Land Authority land are involved.<\/p>\n<p>It is also important to coordinate the process with the financing bank, if there is one. An undertaking to register a mortgage, documents for discharging an existing mortgage, and rights confirmations must fit the chosen course of action. Early coordination prevents a situation in which the agreement has been signed and the first payment has been made, but mortgage funds are delayed because a document has not been arranged.<\/p>\n<h2>Common mistakes in transactions involving leasehold apartments<\/h2>\n<p>The first mistake is relying on the statement that the apartment is capitalized and therefore nothing needs to be checked. Capitalization is an important fact, but it is not the same as ownership and does not replace a review of the right and registration terms. The second mistake is relying on a broker&#8217;s advertisement or an old document without obtaining current documents.<\/p>\n<p>Another mistake is stating in the agreement that the seller will transfer all rights he or she has, without specifying what those rights are and what the status of the process with the Israel Land Authority is.
